Terms of Service

1. Who we are & what DonDelay is
DonDelay (“the Service”) is a software-as-a-service product operated by INBURG INDIA PRIVATE LIMITED, a company incorporated in India (CIN: U74999DL2022PTC407372; registered office: A19, Ground Floor, FIEE Complex, Okhla Phase II, New Delhi 110020, India) (“Inburg”, “we”, “us”). DonDelay is a reply-management layer for LinkedIn outreach run through HeyReach: it ingests conversation activity from HeyReach workspaces that you connect, delivers push notifications, and lets you and your team read and send replies from mobile and web apps. DonDelay is an independent product. It is not affiliated with, endorsed by, or sponsored by LinkedIn Corporation or HeyReach.
2. Accounts & eligibility
You must be at least 18 and able to form a binding contract. You are responsible for your account credentials and for all activity under your organisation’s account, including team members you invite. Provide accurate information and keep it current.
3. Your clients’ workspaces & your responsibilities
DonDelay connects to HeyReach workspaces using API keys you supply. By connecting a workspace you represent that you are authorised by the workspace owner (your client) to access and act on its conversations, and that your use complies with your agreements with your clients, HeyReach’s terms, and LinkedIn’s terms. You — not Inburg — are responsible for the content of messages you send and for your outreach practices complying with applicable law (including anti-spam and data-protection law).
4. Subscriptions, trial & billing
Paid plans are billed in advance in US Dollars on a monthly subscription basis, at the pricing published on our pricing page. New organisations receive a 14-day free trial; no payment method is required to start the trial. Subscriptions renew automatically each billing period until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period. Details of cancellations and refunds are in our Refund & Cancellation Policy. Prices exclude applicable taxes, which are charged where required by law. We may change pricing with at least 30 days’ notice; changes apply from your next billing period.
5. Acceptable use
You may not: use the Service for unlawful, deceptive, or abusive messaging; attempt to breach, probe, or overload the Service; access it by automated means other than documented interfaces; resell it without our written agreement; or upload content that infringes others’ rights. We may suspend accounts that endanger the Service or other customers, with notice where practicable.
6. Third-party services
The Service depends on third parties we do not control — including HeyReach APIs, LinkedIn, push-notification infrastructure (Google/Apple), and hosting providers. We are not responsible for their availability or for changes they make. If a third party materially restricts functionality (for example, an API is discontinued), we will make reasonable efforts to adapt but do not guarantee equivalent functionality.
7. Intellectual property
The Service, including its software, design, and branding, is owned by INBURG INDIA PRIVATE LIMITED. We grant you a limited, non-exclusive, non-transferable licence to use it for your internal business purposes during your subscription. Your data remains yours; you grant us the licence needed to operate the Service (store, process, transmit, and display your data to you and your team).
8. Warranties & liability
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim implied warranties and our total aggregate liability arising out of the Service is limited to the amounts you paid us in the 12 months before the claim. We are not liable for indirect or consequential losses, or for lost profits, revenue, or data. Nothing in these terms limits liability that cannot be limited by law.
9. Termination
You may stop using the Service and cancel at any time. We may terminate or suspend for material breach of these terms. On termination we will make your data available for export for 30 days, after which it is deleted in the ordinary course as described in the Privacy Policy.
10. Governing law & changes
These terms are governed by the laws of India, with courts of competent jurisdiction in India. We may update these terms; material changes will be notified by email or in-app at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
